The Board of Directors and Management of the Company comprise of individuals who have distinguished themselves across a wide spectrum of commercial, technical and other life endeavours. Nevertheless, the success of the Company has been primarily as a result of the vision, doggedness and foresight of its Board of Directors and Management.

Corporate Governance

HRM Development is a Company that ensures and sustains high standards of Corporate Governance in its dealings. The goal is to exceed �minimum requirements� with due consideration to international standards. Thus, the provisions of the �Code of Best Practices on Corporate Governance� are adhered to as part of the Company�s recognition of the demands of its own corporate brand and values as well as international standards of best practices.

i) Responsibility of the Board

The Company is fully compliant with all the duties and responsibilities stated in the code of corporate governance.

ii) Composition of the Board

The Board is composed of two (2) Directors including the Board Chair, which is the required minimum. The board members are professionals and entrepreneurs with vast experience and credible records of accomplishment. To enhance corporate governance. Board sub-committees are in the process of being constituted to help the Board properly assess management reports, proposals and oversight functions and make recommendations to the main Board.

iii) Frequency of board meetings The Board meets regularly at least once in every six months. Sufficient notices with clear agenda/report are given ahead of such meetings. All Directors have access to the Company Secretary who can only be appointed or removed by the Board and is responsible to the Board.

iv) Non-Executive Directors Non-executive Directors of the Company are of strong calibre and contribute actively to Board deliberations and decision-making. However, non-executive Directors are not appointed for a fixed period. There is a requirement in the Company�s Regulation whereby one-third of non-executive Directors retire by rotation at every AGM.

V) Directors� Remuneration The Board fixes the remuneration of the Chief Executive Officer. The Board Establishment Committee is chaired by a non-executive Director and is composed of other non-executive Directors and executive Directors. Full disclosure is provided for Directors remuneration.

vi) Reporting and Control The Board is responsible for and ensures proper finance reporting as well as establishment of strong internal control procedures. The Company has in place an Audit Committee, which ensure this function is well handled.

Business Outlook Today the company is a sustainable company for the long-term and it places its mission and values at the centre of everything it does. The Company�s business is driven by the needs of its clients, partners, people and the scale of its global operations define its chance to future deal flow. To ensure the Company�s interests are aligned with the investors, HRM Development Limited has put its capital to work alongside that of the investors. The Company generates returns by focusing on property fundamentals such as financing, development, construction and property and facilities management.

The Company�s long-term objective is to generate stable and growing distributions for its investors while protecting them against downside risk. Group Chairman and Company Secretary

Responsibilities at the managerial level of the Company are well defined. The position of the Group Chairman, who is not directly involved in the day-to-day operations of the Company, is distinct from that of the Chief Executive Officer.

Group Chairman

HRM Togbuiga Sri Kponoe III is the Group Chairman and a member of the Board of Directors. He is a Computer Technologist with cognate experience in international and corporate business. He has also acquired immense managerial, networking and negotiation skills in his career as an entrepreneur.

As a business leader with a passion for excellence, HRM Togbuiga has successfully managed multi-Billion-dollar projects, which led to the establishment and growth of over twenty (20) companies in the areas of Oil Trading, Haulage, Real Estate, Mining, Hospitality and IT.

He has set up and managed cross-functional and multi-sectoral teams to deliver superior value to shareholders and stakeholders. He is a Business Executive with a wide national and international network acumen. He is an Entrepreneur with vision, foresight and strong determination and a turn-around leader with proven success in transforming business infrastructures by executing strategic business initiatives.

His key strength is primarily the ability to recognize business opportunities and building effective solutions to meet such needs. He has a strong knack for taking on challenges by proffering solutions and consequently turning them into business models.

HRM Togbuiga is an accomplished Executive and a skilled Manager. He possesses excellent business skill, expertise and experience. He has the unique expertise in defining corporate directions, exceeding targets and developing sustainable business models through effective leadership.

Silas Bervell

Company Secretary

Silas Bervell is the Executive Director of The Royal Address Limited. He has extensive professional experience and significant executive leadership accomplishments in business cutting across multiple industries, including, Audit, Insurance, Investment Banking, Info-Technology, Shipping, Advertising, Management Consulting and Hospitality.

He has spearheaded the execution and rollout of numerous IT Control and Management Systems.

Silas applies qualities of integrity, credibility and a passion for progress to strategic governance efforts. He is a member of the Institute of Chartered Accountants (Ghana) with over fifteen years post qualification experience,

He was the Director of Finance and subsequently Deputy Managing Director of MMRS Ogilvy, an international Advertising Agency. He is a board member of several companies including Media Majique & Research Systems, Atlantica Estates, Lansdown Ibruheights Resort, Fossies.
